Terms of Service

1. Acceptance of Terms

By installing, accessing, or using DemandLoop or any other product provided by Metigro ("we", "us", "our"), you ("Merchant") agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

These terms apply in addition to the Shopify Terms of Service and any applicable Shopify API terms.

2. Description of Service

DemandLoop is a Shopify application that enables Merchants to capture customer demand for out-of-stock products, send automated restock notifications via email and web push, and track revenue attributed to those notifications.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice to active Merchants.

3. Account and Access

Access to DemandLoop is provided through the Shopify App Store. You must have an active Shopify store to use our services. You are responsible for maintaining the security of your Shopify account and for all activity that occurs through it.

You agree to provide accurate store information and to keep your Shopify account in good standing while using DemandLoop.

4. Plans and Billing

4.1 Pricing Plans

DemandLoop offers multiple pricing plans with defined limits on subscribers, notifications, and features. Current plan details and pricing are available within the DemandLoop dashboard and on the Shopify App Store listing.

4.2 Billing

All charges are processed through the Shopify Billing API. Recurring charges are billed every 30 days in USD. By approving a charge through Shopify, you authorize ongoing billing according to your selected plan.

4.3 Attribution Commission

Certain plans include a commission on revenue attributed to DemandLoop notifications. Attribution is determined by a 7-day window: if a Customer clicks a notification and completes a purchase within 7 days, the order may be attributed to DemandLoop. A monthly cap limits the maximum commission charged in any billing period.

4.4 Plan Limits

Each plan has defined limits for subscribers, email notifications, and web push notifications. When limits are reached, additional notifications may be paused until the next billing cycle or until you upgrade your plan. We will notify you when you approach your plan limits.

4.5 Free Trial

Paid plans may include a free trial period. At the end of the trial, your selected plan will begin billing automatically unless you downgrade or uninstall the app before the trial expires.

5. Acceptable Use

You agree not to:

  • Use DemandLoop to send unsolicited or spam notifications
  • Collect Customer data for purposes other than restock notifications without proper consent
  • Attempt to bypass plan limits, rate limits, or security measures
  • Reverse-engineer, decompile, or extract source code from our services
  • Use the service in violation of any applicable law or regulation
  • Interfere with or disrupt the integrity or performance of the service

We reserve the right to suspend or terminate access for violation of these terms.

6. Merchant Responsibilities

As a Merchant using DemandLoop, you are responsible for:

  • Ensuring that Customer consent is properly obtained before collecting notification subscriptions
  • Complying with applicable privacy laws (including GDPR and CCPA) in your jurisdiction
  • Providing Customers with access to unsubscribe mechanisms and preference management
  • Displaying appropriate privacy notices on your storefront when using the DemandLoop widget
  • Responding to Customer data access and deletion requests in a timely manner

7. Data and Privacy

Our collection and use of data is governed by our Privacy Policy. By using DemandLoop, you acknowledge and agree to our data practices as described therein.

Metigro acts as a Data Processor on behalf of the Merchant (Data Controller). We process Customer data solely according to the Merchant's instructions as expressed through their use and configuration of DemandLoop.

8. Email Deliverability

While we make commercially reasonable efforts to deliver notifications reliably, we cannot guarantee that every email or web push notification will be delivered. Delivery may be affected by factors outside our control, including recipient email provider policies, spam filters, browser settings, and network conditions.

We actively monitor bounce rates, spam complaints, and sender reputation. Merchants with high complaint rates may be subject to temporary sending restrictions to protect overall deliverability.

9. Intellectual Property

DemandLoop, Metigro, and all associated logos, designs, and content are the intellectual property of Metigro. You are granted a limited, non-exclusive, non-transferable license to use our services for your Shopify store while these terms remain in effect.

You retain ownership of all your store data, Customer data, and content.

10. Limitation of Liability

To the maximum extent permitted by law, Metigro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost sales, or lost data, arising from your use of our services.

Our total liability for any claim arising from these terms or your use of DemandLoop shall not exceed the amount you paid to us in the 12 months preceding the claim.

We are not liable for any damages resulting from undelivered notifications, third-party service outages (including Shopify and email providers), or inaccurate inventory data provided through Shopify webhooks.

11. Termination

You may terminate your use of DemandLoop at any time by uninstalling the app from your Shopify store. Upon uninstallation:

  • All Customer subscription data will be deleted
  • Attribution data may be retained for up to 730 days for compliance purposes
  • Any outstanding charges will be processed through Shopify billing
  • Your access to the Merchant dashboard will be revoked

We may terminate or suspend your access if you breach these terms, with notice where reasonably practicable.

12. Warranty Disclaimer

DemandLoop is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or completely secure, though we make commercially reasonable efforts to ensure reliability and security.

13. Governing Law

These terms are governed by and construed in accordance with the laws of Ukraine. Any disputes arising from these terms or your use of our services shall be resolved in the courts of Ukraine, unless otherwise required by applicable consumer protection laws in your jurisdiction.

14. Changes to These Terms

We may update these Terms of Service from time to time. Material changes will be communicated through the Merchant dashboard or via email at least 30 days before they take effect. Continued use of the service after changes become effective constitutes acceptance of the revised terms.
